PLEASE READ CAREFULLY THE TERMS AND CONDITIONS OF THIS AGREEMENT BEFORE USING THE VOLO API (HENCEFORTH SIMPLY REFERRED TO AS "API"). BY USING THE API, YOU ARE AGREEING THAT YOU HAVE READ, AGREE TO COMPLY WITH AND TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. THIS AGREEMENT IS EFFECTIVE AS OF THE FIRST DATE THAT YOU USE THE API.

1. Licence for the API

Subject to the terms and conditions in this Agreement, you are granted a cost free, non-exclusive, non-transferable revocable license during a 12 month period solely to:

1. Use the API to develop and implement your Services;
2. Display any data or information made available to you through the API, on and through your Services to users who are bound to enforceable service terms with you, as permitted by this Agreement;
3. Modify any data or information made available to you through the API only to format it for display on your Services;

After the 12-month period the licence must be renewed or otherwise your ability to use the API will be suspended.

2. Restrictions and Limitations

You wil not or attempt to (and will not allow others to):

1. reverse engineer or otherwise attempt to derive source code, trade secrets or know-how underlying the API or any portion of it;
2. sell, rent, lease, sublicense, distribute, redistribute, syndicate, create derivative works of, assign or otherwise transfer or provide access to, in whole or in part, the API material to any third party except as expressly permitted herein;
3. provide use of the API on a service bureau, rental or managed services basis or permit other individuals or entities to create links to the API or “frame” or “mirror” the API on any other server, or wireless or Internet-based device, or otherwise make available to a third party, any token, key, password or other login credentials to the API;
4. use the API for any illegal, unauthorized or other improper purposes.
5. store any sensitive data such as, but not exclusive to, token, key, password or other login credentials, telephone numbers, emails and addresses of users registered in the VOLO system.

Rate Limits.

1. You will not attempt to exceed or circumvent rate limitations on access, calls and use of the API, or otherwise use the API in a manner that exceeds reasonable request volume.
2. If you are suspected of attempting to circumvent Rate Limits, then your ability to use the API may be temporarily suspended or permanently blocked.
3. Your usage of the API may be monitored to improve the API service and to ensure your compliance with this Agreement.

3. Updates

You acknowledge that the API may be updated from time to time and that backwards compatibility may not always be offered. You are recommended to implement and use the most current version of the API and to make any changes to your Services that are required as a result of such update, at your sole cost and expense. Updates may adversely affect the manner in which your Services access or communicate with the API or display Content. Your continued access or use of the API following an update or modification will constitute binding acceptance of the update.

This Agreement with its terms and conditions may be changed from time to time. When this happens you shall be notified via email. You acknowledge that these updates and modifications may adversely affect the manner in which your Services access or communicate with the API or display Content. Your continued access or use of the API will constitute binding acceptance of the such updates and modifications to the terms and conditions.

4. Warranty Disclaimer

THE API SERVICE IS PROVIDED TO YOU “AS IS”, WITH ALL FAULTS AND EACH PARTY EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, CONDITIONS, REPRESENTATIONS OR TERMS, EXPRESS OR IMPLIED, WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE OR OTHERWISE AS TO ANY MATTER, INCLUDING BUT NOT LIMITED TO PERFORMANCE, SECURITY, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, INTEGRATION, MERCHANTABILITY, QUIET ENJOYMENT, SATISFACTORY QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE.
